Established in January 1, 1961 Waskita Karya is one of leading state companies in Indonesia which plays a major role in the development of the country. Originated from a Dutch company named "Volker Aannemings Maatschappij N.V.", which was expropriated under the Government's Decree No.62/1961, Waskita Karya was initialy paticipated in the water related developments including reclamation, dredging, harbor and irrigation.

Eversince 1973, however, legal status of Waskita Karya's has changed to "Persero" PT. Waskita Karya, with a more familliar summon "Waskita". From then on, the company started to expand its business as general contractor engaging in a wider range of construction activities including highways, bridges, ports, airports, buildings, sewerage plants, cement plants, factories and other industrial facilities.

In 1980, Waskita started to undertake a wide variety of projects involving advanced technology. Transfer of technology was conducted through business alliances in the form of joint operations and joint venture with reputable foreign companies. Significant and outstanding accomplishments whice become national pride are Sukarno-Hatta Airport, Siwabessy Multipurpose Reactor, and Muara Karang Coal Fired Power Plant in Jakarta.

Entering year 1990, Waskita has completed numeruous high rise buildings with well earned reputation such as BNI City (the tallest building in Indonesia), Bank Indonesia Office Buildings, Graha Niaga Tower, Mandiri Plaza Tower, Shangri-La Hotel and several multi-storey apartment buildings in Jakarta and other cities in Indonesia.

Waskita has achieved distinguished performances in the construction of long span prestressed concrete bridge using free cantilever system by successfully completed three bridges: Raja Mandala, Rantau Berangin, and Barelang IV. Another major achievement using similar technology was acomplished in the construction of "Pasteur-Cikapayang-Surapati" elevated road and cable stayed bridge in Bandung. The same success story was also achieved in the construction of several major dams such as Pondok, Grogkak, Tilong, Gapit, and Sumi, whice were completed ahead of schedule with satisfying quality.

The effort in always prioritizing quality ahead of anything else has enabled Waskita in obtaining certification of ISO 9002:1994 in November 1995; whice became a convincing international recognition on the ISO Quality Management System implemented by the company and a starting point towards the era of global competition. In June 2003, Waskita has successfully updated its Quality Management System and was able to obtain certification of ISO 9001:2000. Assessment Implementation Procedure
The Measurement on the effectiveness of GCG Implementation is highly important for all companies, including Waskita, in order to maintain and improve governance implementation continuously. The Company periodically performs assessment through independent consultant or an assessment team appointed from The Company's internal division (selfassessment). Both teams are appointed and thus have an authority to ensure the independency of assessment process. The assessment is performed using spesific method to identify and investigate any weakness that requires follow-up.

 WIKA was formed by the nationalization process of a Dutch company named, Naamloze Vennotschap Technische Handel Maatschappij en Bouwbedijf Vis en Co. or NV Vis en Co. Pursuant To Government Regulation No. 2 / 1960 and Minister of Public Works and Electric Power (PUTL) Decree No. 5 dated 11 March 1960, to be named Perusahaan Negara Bangunan Widjaja Karja. WIKA’s line of business at the time was electrical and water pipe installation works. In the early 1960s, WIKA took part in the construction project of Gelanggang Olah Raga Bung Karno in order of Games of the New Emerging Forces (GANEFO) and the 4th Asian Games providence in Jakarta.
 Various improvements were made in overtime to keep growing, as well as WIKA dedication to contribute the development of our nation by providing construction services throughout the country.
The first significant growth was in 1972, when Perusahaan Negara Widjaja Karja was changed to PT Wijaya Karya. WIKA then expanded into a construction contractor by handling various important projects, such as installation of electricity grids at Asahan and the Jatiluhur irrigation project.
 A decade later, in 1982, WIKA underwent expansion with the establishment of several new divisions, such as Construction Civil Division, Building Division, Housing Facilities Division, Concrete and Metal Products Division, Industrial Construction Division, Energy Division, and Commerce Division. Many projects being handled at the time, among others the LIPI Building, Bukopin Building, and construction and Irrigation Project. Moreover, with the progressive growth of its subsidiaries in the construction industrial sector, WIKA has transformed into an integrated and synergetic infrastructure company.
 WIKA’s personnel expertise in construction industry have pushed the Company to further explore in various business areas by establishing a number of its subsidiaries to become independent as business ventures that specializes in creating their own respective products. In 1997, WIKA establish its first subsidiary company, named PT Wijaya Karya Beton, a reflection of how fast the Concrete Division growing in WIKA at the time.
 PT Wijaya Karya Beton's activity at the time, among others, is the rail tracks provision for the Manggarai double-track lane construction in Jakarta, Grati Gas and Steam Power Station (PLTGU) construction and also Barelang cable-stayed bridge in Batam. The establishment of PT Wijaya Karya Realty in the year 2000 as expansion of the Realty Division was follows PT Wijaya Karya Beton steps. Subsequently at the same year, PT Wijaya Karya Intrade was also established as the expansion of the Industrial and Commercial Division.
 The more a company expanded, the higher level of public trust to the company’s capablility. These reflect on WIKA’S achievement on committing to Initial Public Offering (IPO) on October 27th, 2007 in Indonesia Stock Exchange (IDX). In that occasion, WIKA release 28,64 percent shares to the public, thereby Indonesian Government hold 68,42 percent shares, and the rest is owned by the public includes WIKA employees through Employee/Management Stock Option Program (E/MSOP), and Employee Stock Allocation (ESA).
 In the mean time, expansions of division action to be independent subsidiaries are continuing. WIKA established PT Wijaya Karya Gedung on 2008 as subsidiaries that specialize on high-rise building development business. WIKA also acquired 70,08 percent of PT Catur Insani Pertiwi shares that specialized on mechanical-electrical business, afterward PT Catur Insani Pertiwi’s company name was changed to PT Wijaya Karya Insan Pertiwi. Along with PT Jasa Sarana and RMI[HR1]  established PT Wijaya Karya Jabar Power that specialized on Geothermal Power Plant development.
WIKA along with other companies are successfully completed Suramadu Bridge in mid 2009, a prestigious project which connect Java Island and Madura Island. At the present, many people are experience the benefit of the project.
 Entering 2010, WIKA face business environment transformation with a grater challenge. For that, WIKA has setting up the brand new Company’s Vision, which is 2020 VISION to be one of the EPC  Company and the best Integrated Investment in Southeast Asia. This vision was believed to give directions to all WIKA’s ranks to achieve optimal, healthy and sustainability growth.
 Throughout 2012, WIKA was success to complete many power plant projects, such as, 60MW Borang Gas Power Plant, 21MW Rengat Gas Engine Power Plant, 34MW Ambon Diesel Power Plant.
 There are more development happened on 2013, such as, established a joint venture PT Prima Terminal Petikemas together with PT Pelindo I (Persero) and PT Hutama Karya (Persero), acquired PT Sarana Karya (Persero) shares was owned by Indonesian Government, established new joint venture, PT WIKA Kobe and PT WIKA Krakatau Beton through WIKA Beton subsidiaries, and had done shares buyback for 6.018.500 shares with the average price Rp. 1.706,77,-. WIKA’s selective market strategy is based on selected market. Currently, WIKA’s market consists of domestic and overseas market. The strategy for domestic market is to select projects coming from the Government with adjusted budget and private companies which offer better profit. While for overseas market, WIKA focuses on its existing market.
WIKA’s financial strategy is focused on the optimization of liquidity level. This strategy can be achieved through Centralized Financial Strategy and Self-Financing Project Policy. Those strategies are expected to be able to keep company’s liquidity level.
Operational Excellence refers to three strategies, as follows:
Centralized Procurement,

Risk Mitigation.
Centralized Procurement is one of substantial ways to reduce the costs especially gaining higher income and efficiency on inventory costs.  WIKA Gedung, one of the six subsidiaries of PT Wijaya Karya (Persero) Tbk (WIKA), has grown steadily serving government, SOEs (regional/local governments), loan and private markets throughout Indonesia. Founded on October 24, 2008, WIKA Gedung started its business in building construction services and built its reputation as a leading construction company in Indonesia.
 As the initiative move to drive innovation in construction services, WIKA Gedung continued to expand its business to property sector in 2013. In line with the shareholders’ direction for realizing the benefits of business transformation, WIKA Gedung has expanded its property business to concession which will support the company's sustainable growth and generate recurring income.

INTEREST CONSTRUCTION GUIDELINES

 Stakeholders and other parties are stakeholders who are partners of the Company's existence that must be a concern of the Company, especially in order to maintain the interests of stakeholders and to improve the company's reputation. However, in carrying out these relationships and interactions there is always the potential for the occurrence of a conflict of interest situation that may not be avoided between one party and another.
 In addition, the Company realizes the importance of a firm attitude towards handling the Conflict of Interest that occurs in the Company, so that good corporate management can be created, as well as synergic relationships with all Stakeholders and other parties in implementing cooperation and interaction with the Company.
For this reason, the Company prepares Conflict of Interest Guidelines which are guided by applicable laws and regulations, and is aligned with the Code of Corporate Governance and Code of Conduct, as well as the values ​​and culture prevailing in Company. In the end, the Conflict of Interest Guidelines will be socialized and evaluated on an ongoing basis for all Company Persons as well as learning for employees in applying ethical principles in business. The Company was originally established under the name of PT Samsung Development on May 9, 1995 as stated in the Deed of Establishment made in the presence of Notary Sinta Susikto, S.H. based on Deed No. 62 dated May 9th, 1995 and Decree of the Minister of Justice with Decree No. C2-15301.HT.01.01.TH.95 dated November 24th, 1995. On December 23rd, 2016, PT Samsung Development changed its name to PT Urban Jakarta Propertindo based on Deed No. 32 dated December 23rd, 2016 made in the presence of Notary Silvy Solivan, S.H, M.Kn. and Decree of the Ministry of Law and Human Rights with Decree No. AHU-0025502.AH.01.02 in 2016.

The main business activities of the Company are both owned and leased real estate assets which focus on developing residential areas under TOD Concept. In its business activities, the Company develops and/or manages office areas, shopping centers and apartments that are integrated directly with mass transportation.

In addition to the TOD concept, the Company will also develop one-stop-living concept on each of its project. This concept makes it easier for residents to meet their residential needs and no longer need to commute long distance to fulfill their household needs or to use sports and entertainment facilities. These two main concepts will be carried out by the Company to distinguish itself from other property developer and provide highly attractive value added to the community.

 By conducting its Marketing Activities, the Company starts from creating a marketing strategy specific to the segment, target and price of the target market. After the strategy is established, various marketing media such as flyer, digital marketing as well as presentation directly used as an approach to retail consumer, to approach corporate consumer, the Company uses means of presentation and negotiation. If a retail consumer is interested to buy the apartment unit offered, the Company will start processing the consumer’s order starting from preparation of down payment, letter of order and contract. After the apartment construction process reaches 20%, the sales contract can be prepared to be signed by the customer, after the Project is completed then the process delivery of unit can be executed and the process of Marketing Activities ends. Good Corporate Governance

Good Corporate Governance principles is an essential aspect to lead the Company to sustainability, whereby the operations are in line with the Company's vision and mission. Management has established supporting instruments for work units, function to control, watch, and be held accountable for the implementation of GCG, while concurrently acting as partners for the committees under the Board of Commissioners.

 Understanding good corporate governance is essential to ensure advantages in the operations of a Company’s management, so that the Company can develop and achieve success. The implementation of GCG reflects the Company’s efforts to optimize their performance in order to provide value to customers, public society, and stakeholders, in addition to targeting and enhancing the Company’s high value of the corporation. GCG plays a significant role in supporting the Company’s high performance and sustainability. GCG also impacts the Company’s structuring that resulted in a well established and highly organized system.

The concept of Corporate Governance, is initially issued through propositions, concerning regulatated amendment for issuers listed on the BEJ in 1998 (now is named Indonesia Stock Exchange), of which the content mandates each Company to appoint an Audit Committee and Independent Commissioner. As well as to entitle the Corporate Secretary, to magnify information transparency.

 Indonesia’s government has already established Komite Nasional Kebijakan Governance (KNKG) by virtue of Decision from the Coordinating Minister of Economic, Financial, and Industrial Affairs Nomor: KEP-31/M.EKUIN/06/2000. KNKCG have duties to formulate and recommend national policy regarding GCG. To pioneer, monitor improvement and innovation in corporate governance arena in Indonesia. Issuing guidelines for Indonesia’s GCG is one of its responsibilities.

 The implementation of GCG is essential for the Company to manage hierarchy and systems successfully. This practice will result in positive impacts for the Company namely efficiency, competitiveness, sustainable growth, optimum value, and high return. The enforcement of GCG will enhance the Company’s credibility with investors, as well as increasing the Company’s values as their investment target. In TOTAL, GCG then functions as a steering body that is accountable for monitoring corporate performance for the improvement of its business operation. Relating to its function, the implementation of GCG provides rights and responsibilities to all stakeholders. Balancing between external and internal interests, can also be achieved through effective controls.

Sitara Propertindo Tbk (TARA) was established on 1 June 2006 under the name PT Garda Jaya Prima and began operating commercially in 2006. TARA's head office is located at Wisma 77 Lt. 19, Jl. Lt. Gen. S. Parman Kav. 77, Ex. Slipi, Kec. Palmerah, West Jakarta 11410, Indonesia.

TARA's main business and parent company is PT Surya Buana Makmur (59.99%), established in Indonesia.

On June 30, 2014, TARA obtained an effective statement from the Financial Services Authority (OJK) to conduct an Initial Public Offering of TARA (IPO) to the public as much as 4,000,000,000 with a nominal value of Rp100 per share per offer price of Rp106 per share accompanied by with Series I Warrants given free of charge as an incentive of 2,000,000,000 with an implementation of Rp.106 per share. Each Warrant shareholder has the right to buy one company share during the implementation period, which starts on January 6, 2015 until July 06, 2017.
