PT Sanggraha Dhika is a company that manages REDTOP Hotel, a 4-star business hotel, located in Jalan Pecenongan No. 72, Central Jakarta.

Until the present, the main activity of the Company is to run a business, manage, and maintain REDTOP Hotel. REDTOP Hotel has a 15 floor building which is characterized by its red colored dome on top of the building, with a floor area of 42 461 square meter built on an area of 8,205 square meter. The Hotel has 390-suite rooms, all equipped with the accommodation and facilities of a 4 star hotel.

A number of major facilities offered, such as: convention & banquet, meeting rooms & business center, as well as sports center and spa.

Good Corporate Governance

The Company through its Board of Commissioners, Board of Directors and all of its employees are committed to implement good corporate governance. In management views, a good corporate culture can only be develop if the Company maintains a thorough and consistent good corporate governance by continuously conducting innovation and improvement. The main goal of good corporate governance is to optimize long-term Company values for all of its shareholders as well to other stakeholders. In order to maintain a well supervised good corporate governance implementation, the Company requires a Corporate Governance Guidance which can be utilized as an archetype to carry on a good corporate governance.

The Company put the principles into practices by providing relevant and material informations with an accessible means of approach and easy to comprehend for the stakeholders. The Company must delivers transparent, punctual, clear and comparable information, all of which related to the financial situation, company management and ownership. Accountability The Company conducts the principles of good corporate governance by continuouly being responsible upon its performances in a decent and transparent manner. The Company implements the principles of good corporate governance by means of applying a balanced and fair regulation between stakeholders that encompassed fair and equal treatment to fulfill stakeholders’ rights based on agreement and the applicable law. The apparent clarity of the rights of shareholders, the legal system and enforcement of regulations is to protect the rights of shareholders itself, especially for minority shareholders. General Meeting of Shareholders (GMS)

Board of Commissioners

Board of Commissioners has the duty and responsibility for overseeing the Company's management policies, ensuring the Company's articles have been implemented as appropriate, impose AGM decisions, and provide advice to the Board of Directors in accordance with the purposes and objectives of the Company. Board of Commissioners consisting of 2 persons, 1 persons president commissioner and 1 person independent commissioner who is experienced professionals as leaders in diverse areas of business. Code Of Conduct

The Company has a Code of Conduct that applies to all levels of the organization. Code of Conduct provides clear guidance on noble values espoused by the Company with the aim of to align the behavioral, mental and moral aspects of all employees with the noble values adopted by the Company.

Whistle Blowing System

Any employee who is aware of any violation of the Code of Conduct must report the evidence and information to their supervisor or the designated work unit.

The whistle blowing system includes the following process:

  • Whistleblowers report violations and discuss with supervisor.
  • The Company maintains the confidentiality of the whistleblowers’ identity as well as the content of the reports, and protects the whistleblowers, related parties, and investigators from any retaliatory action.
  • The protection provided by the Company includes legal protection if necessary.
  • The Company will follow up on every reported violation supported by adequate initial evidence.
  • Employees who are found guilty retain their right to explain or defend themselves prior to the imposition of penalty in accordance with the Company’s policy.
  • The penalty is imposed by the Board of Directors by taking into account the proposal from the Head of Internal Affairs (as the coordinator of the investigation) and from the direct supervisor of related employees. Arthavest ARTA

The Audit Committee

The Internal Audit

The Internal Audit Unit was established with the aim to provide professional, independent and objective opinion to the President Director on the activities and operations of the Company. Pursuant to the Decree of Chairman of the Capital Market Supervisory Agency and Financial Institution No. KEP-496/BL/2008 dated November 28th, 2008, on the Establishment and Guidelines for Internal Audit Charter, the Company has established its Internal Audit Unit and Internal Audit Charter as the Guideline for Internal Audit. Nomination and Remuneration

The Company does not established Nomination and Remuneration Committee, however, remuneration function and procedure are executed by the Board of Commissioners which has been granted authority by the GMS.

The formulation of the remuneration system based on the principles:

  • In accordance with the legislation in the field of taxation and labor force.
  • The Company provides a different remuneration for members of the Board of Directors of the Company are performing best.

As a responsible corporate citizen, the Company is committed to upholding its corporate social responsibility (CSR) to all stakeholders and the general public in the environment where it operates. This commitment is in accordance with the Government Regulation No. 47/2012 on Corporate Social and Environmental Responsibility of Limited Liability Companies, which is the implementing regulation of the Article 74 of Law No. 40/2007 on Limited Liability Companies.

Accordingly, in 2019 the Company had developed, implemented and managed integrated, focused, and sustainable CSR activities in the fields of healthcare, and social and religious affairs in line with the needs of the local communities and stakeholders, as follows:

Blood Donation 2019

In partnership with the Indonesian Red Cross Society, the Company held blood donations at the REDTOP Hotel & Convention Center as part of its contribution in the field of healthcare. In 2019, the Company held four blood donations on January 25th, April 5th, August 8th, and November 22nd with a total of 178 participants and successfully collected a total of 144 blood bags. The Company plans to intensify this activity even further in the future.

Iftar Dinner

The Company organized an iftar dinner for orphans under the care of Panti Yauma Duafa Foundation and Rumah Piatu Muslimin Foundation on Friday, May 24th, 2019, in the Emerald Ballroom, REDTOP Hotel & Convention Center. The annual activity was attended by the management, employees, and local communities. During the event, the Company donated prayer sets to the children.

Qurban

To commemorate the 1440 Eid al-Adha, the Company donated 3 goats to be distributed to local communities and orphans under the care of Panti Yauma Duafa Foundation and Rumah Piatu Muslimin Foundation.

Tree Lighting

The lighting of the first Christmas lights boasting the performance of REDTOP Choir and children under the care Berkat Kasih Immanuel Foundation. During the occasion, the Company also handed donation to those children. Arthavest ARTA

  • Company Secretary are prohibited from holding any positions in the Company
  • In the event of a vacancy, the Company appoints a replacement within a maximum period of 60 days after the vacancy occurs, and report the appointment to the Financial Services Authority and the Indonesia Stock Exchange on the same day as the appointment of.
  • During vacancies in the position of Corporate Secretary, duties and responsibilities are concurrently held by members of the Board of Directors or individuals who are temporarily appointed and must be submitted to the Financial Services Authority and the Indonesia Stock Exchange 2 working days after the vacancy  
Duties and responsibilities
The Company Secretary has the duty and responsibility as follows:      
  • The Company Secretary is responsible to the Board of Directors.
  • Any information submitted by the Corporate Secretary is the official information of the Company
  • Following the development of the capital market in particular legislation concerning the capital market.
  • Provide input to the Board of Directors and the Board of Commissioners to comply with the provisions of the legislation in the field of capital markets
  • Assist the Board of Directors and the Board of Commissioners in the implementation of corporate governance 
  • Corporate Secretary and employees in the work unit is required to maintain the confidentiality of the document data and confidential information except in order to meet the obligations in accordance with laws and regulations or other specified in the legislation
  • Corporate Secretary and employees in the work unit is strictly prohibited personal benefit either directly or indirectly adverse Company
  • In order to improve the knowledge and understanding of the Company Secretary shall participate in education and or training in order to assist the implementation of the task
Reporting and Disclosure
  • The Company is required to report to the Financial Services Authority of appointment and dismissal of the Corporate Secretary
  •  The Company shall post on the web site of the Company regarding the appointment, dismissal and void Corporate Secretary accompanied by the supporting documents
  • Reporting to the Financial Services Authority and the loading information in the web site of the Company no later than two working days after the appointment and dismissal
  •  Company Secretary shall make a report periodically at least 1 time in 1 year on the implementation of Corporate Secretary to the Board and copied to the Board of Commissioners

PT AKR Corporindo Tbk, hereinafter referred to as AKR, was founded as a small chemical trading business over 58 years ago in Surabaya, and it has now grown to become one of Indonesia’s largest private sector distributors of basic chemicals, petroleum, logistics, and supply chain solutions. Mr. Soegiarto Adikoesoemo, entrepreneur and businessman from Surabaya, started this business in 1960 and later established PT Aneka Kimia Raya on November 28, 1977. In 1994, AKR opened a new chapter in its business development by becoming a public listed company on Indonesian Stock Exchange (previously Jakarta Stock Exchange). This chance was used to further develop the company’s infrastructure and to build new storage terminals, as well as other assets in Java and Sumatra.

In the first decade of this millennium, AKR expanded its business area to the distribution of petroleum products by expanding the existing infrastructure. As its business portfolio grew, AKR starts focusing also on energy, logistics, and manufacturing businesses. The company’s name was later changed from PT Aneka Kimia Raya Tbk to PT AKR Corporindo Tbk, reflecting a larger business scope and opportunities.

In 2005, AKR became the first national private company to distribute non- subsidized fuel. Taking benefit from its experience and extensive infrastructure, the company became the first national private company entrusted by the Downstream Oil and Gas Regulator (BPH Migas) to distribute subsidized petroleum since 2010. AKR continued expanding its network and now has storage tanks and terminals in 15 major sea ports and river ports throughout Indonesia. AKR also owns a fleet of self-propelled oil barges, petroleum, and chemical trucks delivering petroleum and basic chemicals to over 2,000 industrial companies across Indonesia. 

Currently, AKR is well known as the leading provider of logistics, supply chain, and infrastructure services in Indonesia.Using its extensive logistics network, the company has transformed into one of the largest distributors of petroleum and basic chemicals in Indonesia. For subsidized fuel, in 2017, AKR was reappointed to distribute subsidized petroleum for motor vehicles and fisheries. AKR currently operates 137 AKR brand petrol stations selling high quality diesel and gasoline to riders and fishermen in Java, Sumatra, Kalimantan and Sulawesi.

AKR continues to invest in port facilities and other infrastructure in Indonesia to expand its trading and distribution system, as well as its logistics business. In 2011, AKR along with its joint venture partner, Royal Vopak, commissioned the largest independent petroleum storage terminal, PT Jakarta Tank Terminal (JTT) in Tanjung Priok Port. JTT provides modern and efficient terminal facilities for International oil majors and Indonesian corporates alike.

AKR invests not only in heavy equipment, but also in technology to provide efficient supply chain solutions and control across all of its operations throughout Indonesia. It has introduced innovative technology system to monitor and control cargo movements, inventory and distribution of industrial, as well as subsidized petroleum. With these IT systems, any data pertained to the delivery to industrial customers and the refueling of vehicles in petrol stations could be monitored and reported on real time basis. The use of innovative technology solution brings considerable cost savings and efficiency to our customers, while also assisting BPH Migas in supervising and controlling the distribution of subsidized petroleum, thus preventing any misuses.

AKR is the supplier of choice for many companies in textiles, alumina, chemical, as well as soap and detergent industries. AKR supplies basic chemicals and represents world class chemical producers, such as Asahimas Chemicals (part of Asahi Glass, Japan), Solvay Europe and USA. 

AKR is supplying refined petroleum products from international refineries to mining industries, power utilities, industrial and commercial establishments, as well as to retail sectors through its petrol stations. Some of AKR’s subsidiaries, PT AKR Sea Transport Indonesia, operates in sea logistics for fuel services distribution, while PT AKR Transportasi Indonesia operates more than 400 tracks for land transportation.

Currently, AKR is developing an integrated industrial and port area called Java Integrated Industrial and Ports Estate (JIIPE) located in Gresik, East Java. The project has been developed through the company’s subsidiary, PT Usaha Era Pratama Nusantara, in cooperation with PT Berlian Jasa Terminal Indonesia, a subsidiary of PT Pelabuhan Indonesia III (Pelindo III). JIIPE were developed as an integrated industrial area with a deep-water port that will generate significant added value for the company.

Today, AKR also expands its business to petroleum retail and aviation fuel by a joint venture with BP Global. In retail business, both parties have developed a company called PT Aneka Petroindo Raya, operating under the name “BP AKR Fuels Retail”. They intend to develop and offer a different experience to consumers by leveraging the capabilities and expertise of BP and AKR in the emerging retail market in Indonesia. In aviation fuel business, another joint venture company, PT Dirgantara PetroIndo Raya, will operate under the name of Air BP-AKR Aviation with the remit to develop an aviation fuel business in Indonesia. Industrial Fuel 

AKR is the leading private sector distributor of refined petroleum products in Indonesia. Since the deregulation of petroleum distribution by the Government in 2005 (Regulation No. 22 of 2001 on Oil and Natural gas), AKR becomes the first national private company to commence distribution of non-subsidized fuels. Leveraging its strong infrastructure in ports and logistics, AKR imports and supplies high speed diesel, fuel oil, and industrial diesel oil to customers in the mining, power generation, plantation, commercial, industrial, and bunker industries. Today, the company has tank terminal facilities in several locations in Indonesia with a total capacity reaching 666,000 KL.



One of the company’s strengths in this business is the company’s reliable supply chain management that ensures capacity, quality and on time fuel distribution to its customers in Indonesia. Logistics 

PT AKR Corporindo Tbk. offers logistic services in Indonesia, including storage tank terminal, land and sea transportation, and port handling. The services are offered by AKR and its subsidiaries, namely PT Jakarta Tank Terminal (JTT), PT Andahanesa Abadi, PT AKR Sea Transport, PT AKR Transport Indonesia, and PT Usaha Era Pratama Nusantara.

AKR’s port logistic operations are supported by logistic equipment, such as harbor mobile cranes, trucks, hoppers, grabs, forklifts, loaders, shore cranes, excavators, stackers, conveyors, and weighbridges.


The logistic business is an integral part of AKR's trading and distribution business that enables the company to deliver petroleum and chemical products to its customers across the country. Additionally, AKR and its subsidiaries also provide logistic services for third parties.


In addition, AKR entered a joint venture agreement with Royal Vopak, the world's largest independent tank terminal operator, to build a fuel storage tank terminal at Tanjung Priok port in Jakarta, under the name of JTT. The company owns 51% of JTT shares. The first phase of the 250,000 KL construction is now completed. The terminal that is equipped with a jetty and undersea pipeline started operating on June 2010. This strategic asset will not only enhance the company infrastructures in petroleum distribution, but it will also generate additional sales revenue contribution to the company.
