PT Tower Bersama Infrastructure Tbk ("TBIG") is the holding company of the Tower Bersama Group. TBIG was established in 2004 and was listed on the Indonesia Stock Exchange on October 26, 2010.

Tower Bersama Group is one of the two leading independent tower companies in Indonesia. Our principal business is leasing space for antennas and other equipment for wireless signal transmission at tower sites under long-term lease agreements.  We also provide telecommunications operators with access to our Distributed Antenna System ("DAS") networks in shopping malls and office buildings in major urban areas. The Board of Commissioners (“BoC”) serves as the Company’s overall supervisory and oversight body whose members are appointed by, and are directly responsible to the Company’s shareholders. In addition to its oversight and supervisory function, the BoC also provides advice to the Board of Directors.
The Board of Commissioners provides the Company with valuable experience, expertise, and relationships needed to ensure effective oversight such that the Company operates in accordance with its prescribed vision and mission.
In accordance with prevailing regulatory requirements sound corporate governance practices, some members of the BoC are Independent Commissioners. The Company’s current Independent Commissioners, represented by Herry Tjahjana and Wahyuni Bahar, are Board members that do not have any relationship, either in the form of financial, management, shares and or family relations, with another member of the BoC and/or the controlling shareholder that may affect their capacity to act independently. Telecommunications Tower

Tower Bersama Group's core business is leasing antenna space on its towers. Tower Bersama Group leases antenna space to Indonesian telecommunications operators for signal transmission related to wireless voice and data transmission.
The tower leasing service is performed through build-to-suit and collocation site solutions. Built-to-Suit tower sites are constructed based on order from telecommunication operators, while collocation is leasing on existing tower sites.

Distributed Antenna System ("DAS")

Tower Bersama Group also owns and operates Distributed Antenna System installed in a building for wireless communications. Distributed Antenna System are transparent to mobile devices, providing both voice and data services to mobile devices just like any tower on a cellular network. Densely populated high-traffic indoor spaces such as hotels, shopping malls, MRT tunnels,  medical centers and high-rise buildings are all good candidates for DAS deployments. 
Currently Tower Bersama Group owns and operates more than 70 DAS & Repeater sites in major urban areas to create leaner technologies, as well as more cost-effective deployments.

Telecommunication Infrastructure Services

To handle the rapidly increasing demand for mobile data traffic/broadband bandwidth and LTE era. Tower Bersama Group provides Heterogeneous Networks in which small cells embedded in a macrocellular network to enable flexible and scalable capacity enhancements to meet the demand for Operators. With complex business development, our management team felt the needs of good corporate governance in managing their day-to day business activities. The good corporate governance being adopted was influenced by our vision, mission and corporate values. Express Group good corporate governance implementation reflects the management commitment to continually create a transparent and accountable company among its entire stakeholder. By enhancing the good corporate governance practices, Express Group will be able to maximize values to all stakeholders and to apply the openness, accountability, trustworthiness, responsibility and fairness principles to all shareholders, Board of Director and Commissioners, business partners, employees and other stakeholder.

Implementation of Good Corporate Governance
Express Groups always sustain its operational and financial performances well. This is supported by the implementation of good corporate governance which refers to the provision contemplated in prevailing regulations. 

The rules and regulations are Law of Republic Indonesia No. 40 of 2007 regarding Limited Liability Company, Financial Service Authority No. 21/PO JK/04/2015 on Implementation of Corporate Governance for Public Company and Circular Letter of Financial Service Authority (SEO JK) related to Public Company Corporate Governance. The Company also commits in applying Good Corporate Governance which covers the aspects of:

Objectives of Good Corporate Governance     
  

The Company strives to maintain its operational activities in accordance with prevailing regulations.
Express Group recognizes the importance of maintaining the balance of interests among the shareholders, the Company itself, and the other stakeholders. Therefore, Express group continues to implements the principles of GCG, with the understanding that performing business activities in accordance to the best practices.

 Company views GCG as base in realizing business ethic practices to become a Good Corporate Citizen which also functioned to maintain the Company’s sustainability.

Express group holds the responsibility to conduct the business in accordance with appropriate business ethics and with high integrity. This is done by conducting its businesses and performing business activities based on the corporate cultures and values. In this regard, Express group has established the supporting elements to GCG implementation, by formulating the Corporate Cultures and Values, Code of Conduct, and the Board Manual. The Board Manual guides the Board of Commissioners as well as the Board of Directors in performing their duties and function in accordance with GCG principles.

The Manual of the Board of Directors or of the Board of Commissioners is formulated with respect to the provisions in the Article of Association as well as direction from the shareholders of Express Group and Financial Services Authority Regulation No. 33/PO JK.04/2014 on the Board of Directors and the Board of Commissioners of a Public Company.

Good Corporate Governance Structure

Based on Law of Republic of Indonesia No. 40 of 2007 regarding Limited Liability Company (Law of Limited Liability Company), Company’s organs consist of General Meeting of Shareholders (GMS), Board of Commissioners, Board of Directors with respective duties and responsibilities. Environmental Aspect and Social Development
In 2018, the Company conducted emission test on each taxi fleet to reduce air pollution caused by vehicles in general. In addition, water and electricity savings were applied to maintain the environmental sustainability.


Customer Safety Aspect

Express Group consistently recruited drivers through rigorous selection and clear procedures to ensure the safety of customers. Express Group was also equipped with contact center for customer to submit their opinion, critics and complaints.
 
 Occupational Health, Safety and Employment Aspect
With regard to employment practices, Express Group had always paid attention to the rights of its employees, from staff to management level. Express Group continued to provide benefits in accordance with applicable laws and regulations.


With regard to facilities and safety, Express Group routinely conducted maintenance activities on its taxi units. The maintenance activities included emissions check, KIR check (test for vehicle eligibility), tera check and so forth. Express Group provided instrument and technical equipment related to safety procedures. In addition, Express Group also periodically monitored the implementation of safety procedures in the field. So Express Group managed to record a low level of work accident.
