In the last 3 years, MNC expanded its digital initiatives by developing mobile apps for its FTA and started to upload its content on Youtube in short and medium formats. MNC also operates as Multi-Channel Network or MCN which has the fastest-growing number of views and subscribers in Indonesia.

MNC operates 3 portals focusing on general and news contents called Okezone, Sindonews and iNews.id. Okezone today has the largest daily unique visitors of more than 20 million while Sindonews has more than 4 million and iNews.id has 3 million.

To capture a significant share in digital advertising, RCTI+ is targeted to become the largest streaming service in 2020 to complement the company’s strong position in FTA. Other than the live streaming of the 4 FTAs, it provides thousands of famous content library, catch up TV feature, original content like bloopers & behind the scenes, news, audio streaming and other interactive features like quiz, voting, live chat with MNC talents, and audition. Another media business owned by the group is MNC Vision Networks or MVN, being part of the media business within MNC Group, went public in July 2019. It has the largest pay-TV and broadband network operations through MNC Vision, K Vision, MNC Play and VISION+.

MNC Vision, was partly acquired in 2001 under the brand Indovision and became a wholly-owned subsidiary in 2006. It provides the largest Direct to Home or DTH-based pay TV service in Indonesia that dominates more than 90% market share for post-paid services with 2.1million subscribers. MNC Vision has its own satellite launched in 2009 called Indostar II with S-Band technology, which is resistant to weather disturbance in tropical climate. MVN offers more than 130 channels with various genres, of which 30 channels are exclusive on MNC Vision.

In July 2019, MVN acquired K Vision, DTH based pay TV service with Indonesian footprint which serves the middle-income household with prepaid business model. Today, K Vision has the fastest-growing subscriber acquisition of more than 200,000 every month making it the largest prepaid DTH company. It sells set-top boxes along with top-up vouchers consisting of contents with various prices.

In 2014, MVN started its fixed broadband business by rolling out Fiber to the Home (FTTH) technology which offers high-speed internet and IPTV services, under the name MNC Play. Today it has become the third-largest broadband company operating in 9 cities with 1.5 million home passes. On top of having its own networks, MNC Play also lease the capacity from various network providers including Icon+, a subsidiary of state-owned electricity company PLN, to provide high-speed internet and IPTV services.

COMMITMENT ON GCG POLICY IMPLEMENTATION

MNC Group understands the implementation of Good Corporate Governance (GCG) serves as basic needs and foundation in undertaking the Company’s business activity. This commitment consistently upholds the ethics and integrity of the Company’s management aims at sustaining performance improvement, ensuring the fulfillment of stakeholder's rights, as well as enhancing compliance with prevailing laws and regulations.

The Basis for Corporate Governance Implementation

MNC Group is fully committed to implementing GCG principles as the foundation in creating sustainable added value for the interest of shareholders, the public at large, and various other stakeholders (employees, consumers, regulators, business partners, and so forth) for both short- and long-term.

In realizing a comprehensive GCG, MNC Group adopts the applicable best standards in accordance with the principles of Corporate Governance (CG) from the Governance Policy National Committee (KNKG), namely transparency, accountability, responsibility, independence, equality, and fairness.

The implementation of MNC Group GCG is coherently realized from three aspects of the governance system, which are governance structure, governance process and governance outcome aimed at improving investor's trust, protecting the stakeholders’ interests, providing a positive contribution to the financial service industry and market in general.

Governance Framework

The effectiveness of governance implementation can be seen from the adequacy of governance structure and infrastructure to enable outcome from GCG principle process, which meets the stakeholders’ expectations.

Included in the governance structure are the Board of Directors, the Board of Commissioners, Committees, and the Company’s Units. While the governance infrastructure covers policies and procedures, management information systems, and primary duties and functions of each organizational structure.

While the governance process related to the governance implementation, and governance outcome is a result of CG implementation quality.

In accordance with the Company’s Articles of Association, MNC Group Board of Commissioners carries out the oversight function to ensure the conformity of the Company’s management by the Board of Directors with prevailing laws and regulations. While the Board of Directors undertakes management functions professionally and prevents the conflict of interests.

Based on the governance principle, the Company has developed a GCG structure that covers GCG structure and GCG infrastructure in order to implement GCG mechanisms according to applicable regulatory and best practices.

Implementation of CG Principles

As the realization and commitment of MNC Group in implementing comprehensive GCG, the Company implements CG principles in conducting business activities, as follows:

Transparency

Transparency in disclosing material and relevant information related to the Company’s financial and non-financial conditions. The Company realizes this transparency by always striving to pioneer the disclosure of financial and non-financial information, not limited to mandatory information, to various parties with concerns. One of the ways is by conducting Public Expose to meet capital market requirements in order to expose the Company’s performance to shareholders, investors, analysts, and the media.

The Company conducts the disclosure of such information in compliance with applicable laws and regulations and as recommended by CG practice.

The application of this transparency principle does not reduce or waive the Company’s obligation to keep specific confidential information in accordance with applicable laws or regulations or on the basis of business considerations.

Accountability

The clarity of functions, execution, and accountability of each organ and the whole range of the Company, so that the company management can be effectively carried out. The Company believes that accountability relates to the existence of systems that control the relationship between individuals and/or organs in the Company and the relationship between the Company and the parties with concerns. The Company applies the principle of accountability as one solution to overcome differences of individual interests with the Company’s interests and the Company’s interests with the interests of the parties with concerns.

In achieving this accountability, the Company formally specifies details of clear duties and responsibilities for each position taking into account segregation of duties and checks and balance mechanisms. Not only that, the Company strives to provide adequate resources so there will be no overlap of tasks and responsibilities.

Responsibility

It is the conformity in the management of the Company with applicable laws and principles and sound corporate principles. The Company is responsible for complying with applicable laws and regulations, including the provisions pertaining to employment, taxation, business competition, occupational health and safety, and so on. All persons in the Company are also responsible for complying with policies, working procedures and other internal regulations in all work activities. The Company implements responsibility by encouraging all individuals and/or organs of the Company to recognize their rights and obligations, duties and responsibilities and authorities.

It is a condition of the Company’s professional management without conflict of interest, dominance, and the influence/pressure of any party in contrary to applicable laws and regulations and CG principles. At the moment, we are implementing two main systems in our online computer systems, such as : SABRE. As to stock of tickets, we always keep tickets in good and up-to-date stock at our Head Office as well as our branch offices, thanks to the good long standing relationship we maintain so well with airlines concerned, and in that way ticket stock exhaustion are fully watched out and always avoided as replenishment continuously take place before exhaustion happens.

We are able to provide management information reports for financial budgeting or control for the management and arrange special payment system should the needs arise. In the report, usually consists of : traveler name, departure date, itinerary, class of traveler, airlines, fares Bayu Buana has standard report to each of our customer and this report can be tailor-made to our customer needs.

Airport Assistance Arrangement

Payment
Payment for the full amount required after you finish an order. Payment must be made through the website by credit card, KlikBCA, or Automated Teller Machine (ATM). If you pay with KlikBCA or Automated Teller Machine (ATM) then you have to send a confirmation of payment or contact our customer service as soon as you have made the payment. If not, then your payment might not be confirmed so may result in a delay process your booking confirmation. After your reservation has been confirmed then an e-ticket, hotel voucher or confirmation of payment will be issued only valid if your credit card payment has been confirmed or your payment has been received in our account. Please note that your reservation will be automatically release if we have not received the payment or we have not received the confirmation from you within 2 hours after the reservation made.

Booking and Cancellation for Purchase
Please note that terms and conditions for cancellation of bookings and purchases will vary for each product and service. Referring to the terms and conditions for a specific product or service, can be checked through our Sales and Customer Care office during office operating hours. If there are no terms and conditions for a specific product or service, you may cancel the booking or purchase by contacting The Sales and Customer Care or by visiting one of our branches during office operating hours. Cancellation, at your request, might not be allowed or may require a minimum processing time of different periods, in accordance with the terms and conditions that are specific to the type of products or services purchased. All cancellations of hotel reservation will be charged 10 percent of the transaction value and Administrative Fee. We need to info that the VAT and the cost of administration cannot be returned as these fees are paid to third parties. You agree to bear the full costs of cancellation, booking and administration fees for any products or services ordered but not used for any reason. In some cases, The Operator will charge additional cancellation fee and / or fee changes imposed by travel service providers.

Changes to Booking and Purchasing
You must know about the terms and conditions for changes of bookings and purchases will vary for each product and service , subject to the terms and conditions of each product or service. If there is no terms and conditions specific to a particular product or service, you CANNOT change your order or online purchase at this website. Education is the basic right of every citizen as stated on The Constitution of Indonesia chapter 28 about Human Rights. Moreover, the government has enforced a mandatory 9-year-learning program.

To support that, PT Anabatic Technologies as one of the biggest IT company in Indonesia launched a Corporate Social Responsibility (CSR) activity. This is done through Anabatic Mengajar (Anabatic Teach). The program will be implemented in two vocational schools; one of them is SMKN 7 Kelapa Dua.

This school was not chosen without a reason. SMKN 7 Kelapa Dua has potential individuals that are waiting to be molded, sharpened and developed. Other than that, the school’s location is near Puri Amani Mulia, a subsidiary company of PT Anabatic Technologies focusing in properties.

"In doing their business, Anabatic realizes the importance of human resources. Potentially, I believe that Indonesia has quality talents equivalent to that of talents abroad.” said Adriansyah Adnan, Director of Technologies at the opening ceremony of CSR Anabatic, Tangerang, Friday (1/9/2015).

He also mentioned, generally education received in school is different to what really happen in the work field. Therefore, Anabatic wants to contribute in donating knowledge and experience of the industry so that the students can get a clear view in mind of the working world, especially in the IT business and banking.

Anabatic Mengajar will involve 40 Accountancy students of SMKN 7 Kelapa Dua that was chosen by their tutor. Every week, a team of trainers from Anabatic will share knowledge and experiences related to the field.

"Materials will be given for a year, covering IT in banking and Accountancy. Every week, we will come to sharpen their intelligence and broadened their knowledge. The activity will be evaluated by Anabatic and SMKN 7 Kelapa Dua to maximize the result,” said Agung Coriandri, Group Head of Anabatic Learning Centre.  Anabatic Technologies ATIC
