Board of Commissioners Guidance

In carrying out their duties, the Board of Commissioners have duties, responsibilities, rights, and obligations as set up in the charter of the Board of Commissioners as follows:

Every Commissioner of the Company has duties, responsibilities, and obligations as follows:

1. The Commissioner’s duties are:

  1. Supervising and giving advice to the Directors in conducting business activities
  2. Monitoring and evaluating Directors’ performance
  3. Supervising efficiency of risk management implementation
  4. Supervising efficiency of GCG implementation
  5. Monitoring the Company’s compliance with laws and regulations

2. The Commissioner are responsible to:

  1. Arrange the division of duties among members of The Board of Commissioners in accordance with their expertise and experience
  2. Arrange working programs and performance targets for the Board Commissioners every year as well as the review mechanism for the Board of Commissioners’ performance
  3. Arrange manner of information reports from the Commissioners to stakeholders
  4. Accounting for duties of the Board of Commissioners to GMS

3. The Commissioners have obligations to:

  1. Provide opinions to GMS regarding strategic issues that are considered important, including opinions regarding the feasibility of the vision and mission of the Company
  2. Analyzing and examining periodic reports and annual reports prepared by the Directors, including audits results reports of the Internal Control Unit

Besides its duties, responsibilities, and obligations, the Board of Commissioners has rights and authority as follows:

  1. The right to obtain access to the Company and obtain information periodically, on a timely basis, and completely in accordance with the provisions of the Articles of Association and laws and regulations
  2. The right to ask Directors about the Company\’s management of business activities and ask Directors to attend Commissioners\’ meetings to obtain reports regarding the Company\’s affairs
  3. The right to establish Committees and to assist with their duties as approved by shareholders, with the exception of participation in the Audit Committee
  4. The right to propose nominations of new Directors to the shareholders
  5. The right to engage professional consultants, if necessary, to assist in the conduct of its duties

  • Responsibility for business flow, mission achievement, and working plan, as well as development of the Company’s organization

  • Responsibility for negotiations with banks and creditors
  • Responsibility for mobilize loans for the needs of the Company with competitive interest rates

TERMS AND CONDITIONS OF BOOKING
GENERAL

To make a booking online, you will be required to provide certain information including your full name. The name of booking holder must match with that of the registered guest staying at the hotel. You may be required to present an original and valid government-issued photo identification upon check-in for the purpose of verifying identity.

The price of your booking and the terms upon which payment and cancellations are made will vary according to your room, booking type and other factors, and you will be notified of these terms at the time of booking.

Your booking is confirmed once we have issued a booking confirmation with a valid confirmation number, that will confirm the details of your booking, and send it to you by email.
PRICE


Price includes (i) room charge; (ii) service charges at the rate of 10% of the room rate; and (iii) the applicable taxes. Other hotel-specific service charges may also apply. Please check with hotel for more details.
