The implementation of GCG is carried out, among others, through the following:

The General Meeting of Shareholders (GMS) is the highest organ in the Company's organizational structure. The GMS is a forum for shareholders to make important decisions related to the Company. The GMS has the following powers:
- Give approval for the Annual Report,
- Determine the use of company profits,
- Appoint a Public Accounting Firm that will audit the Company's Financial Statements,
- Appoint and dismiss members of the Board of Commissioners and Directors,
- Make other important decisions in accordance with the articles of association and other regulations related to the status or business activities of the Company
Board of Commissioners
In accordance with the Articles of Association, the Board of Commissioners is assigned to oversee the management of the Company by the Board of Directors and provide advice to the Board of Directors. Members of the Board of Commissioners are appointed and terminated by the GMS for a period of 5 (five) years and can be reappointed when their term of office has ended.
Directors
In accordance with the articles of association, the Company is managed and led by a Board of Directors. The members of the Board of Directors are appointed and dismissed by the GMS for a period of 3 (three) years and can be reappointed when their term of office has ended.
Meetings of the Board of Commissioners and Directors
Meetings of the Board of Commissioners and the Board of Directors are meetings that discuss all aspects of the company's activities, which in turn will result in decisions regarding corporate governance, company performance and productivity, increased efficiency, and other matters.
Audit Committee
The Audit Committee is a committee appointed by and responsible to the Board of Commissioners. The Audit Committee consists of independent parties and is chaired by an Independent Commissioner and two other members who are experienced and also have professional backgrounds in accordance with their respective fields. The main task of this Committee is to assist the Board of Commissioners in supervising the governance of the Company.
Internal Audit and Compliance
The Board of Directors has established policies to regulate the functions, duties and scope of work performed by the Audit and Compliance Division in accordance with the applicable regulatory directives. This includes tasks to test the quality and reliability of financial reports, existing policies and procedures, and to ensure an effective internal control system in every function, including safeguarding company assets and the possibility of data leakage as well as carrying out routine and comprehensive inspections at the level of operational efficiency of the Company. This division is expected to become one of the units to prevent the crime of money laundering (TPPU) and the financing of terrorism activities in the company.
Whistle-Blowing System
In line with the company's commitment to implementing GCG, the Company has developed a Whistle-Blowing System policy to early detect violations in the company that can cause financial and non-financial losses, including things that damage the company's image. Through this system, the Company can prevent violations with a comprehensive monitoring pattern and involves all employees so as to provide a sense of security for all parties related to the Company.
External Auditor
Besides being carried out by internal auditors, supervision of the Company is also carried out by external auditors. Since becoming a Public Company in 2000, the financial statements of the Company and Subsidiaries have been audited by a Public Accounting Firm and obtained a fair opinion, in all material respects, the consolidated financial position of PT Panin Sekuritas Tbk and its subsidiaries as well as their consolidated financial performance and cash flows, in accordance with with Financial Accounting Standards in Indonesia.

Customer Financing Facility
Panin Sekuritas has a financing facility (Margin Trading) to provide financial flexibility to customers in transacting shares on the Indonesia Stock Exchange. This facility allows customers to buy shares in excess of their funds using financing from Panin Sekuritas (loan facility).
Common terms in margin transactions: Collateral, Margin Interest, List of Margin Securities, Ratio, Maintenance Ratio, Margin Call, Force Sell.
- Collateral is a guarantee in the form of funds and / or shares with a minimum initial deposit of IDR 200,000,000 (Two Hundred Million Rupiah).
- Margin interest is the interest rate charged to a customer for using margin (debt).
- List of Margin Securities is a list of shares that can be transacted by customers using the margin facility. This list is issued monthly by the Indonesia Stock Exchange.
- The ratio is the ratio between total liabilities (debt) to collateral (collateral)
- Ratios that must be considered in margin transactions:
- Maintenance Ratio: a condition where the ratio between liability to guarantee is ≤ 50%.
- Margin Call: a condition where the ratio between liability to collateral is in the range of> 50% margin call ≤ 65%. In this condition, the customer must deposit funds or sell shares so that the margin ratio is <50%.
- Force Sell with a deadline: a condition where the ratio between obligation to guarantee> 65%, up to T + 3 the ratio must be lowered, if until T + 4 the ratio remains> 65%, then a force sell will be carried out.

Panin Asset Management
Mutual Fund is a forum used to collect funds from investors / investors for further investment in securities portfolios; such as Equity Securities, Debt Securities / Fixed Income Securities and money market instruments. The securities portfolio is actively managed by the Investment Manager, with the aim of obtaining the maximum possible profit for customers. All funds collected are stored and administered by the Custodian Bank separately so that the safety of investor funds is guaranteed.
On November 29, 2011 we had Spin Off the Asset Management Division to become our subsidiary, PT Panin Asset Management, which offers products in the form of mutual funds and discretionary fund management services. The spin-off is carried out as a follow-up to Bapepam-LK regulation number VA3 concerning Licensing of Securities Companies conducting Business Activities as Investment Managers (MI). The outline of the regulation is to tighten licensing for securities companies to carry out business activities as MI in order to improve the quality of investment managers. With the effectiveness of this spin off, Panin Asset Management will focus more on improving the business, both the performance of its managed funds and market development.

Research
The Research Division is one of the supporting divisions that plays a vital role in the Company's business. The Research Division supplies company analysis in order to identify investment opportunities in the capital market. The Research Division's support enables the Company's securities trading team to make valid recommendations for customers and become an effective material for smoothing transactions.
The Research Team used a fundamental analysis approach by studying the direction of the global economy, then narrowing it towards the economy in Indonesia and more specifically for each sector and issuer. The Research Team also conducts securities analysis using a technical approach by paying attention to trends in price movements and stock transaction volume to be able to provide recommendations for further stock movements.
Issuers that are discussed include issuers that are large and actively traded (Blue Chip) as well as issuers that have good prospects (both large and small). In general, issuers included in the LQ45 index are included in the Research Division's study.
Every 6 months the Research Division will estimate the latest index target for the current year. Target setting is determined from a comprehensive analysis of macroeconomic developments and the average of 3 valuation methods (relative valuation, PE band valuation, and dividend discount method).
