Clear description on functions and responsibilities of each element in the organization will pave the way to an establishment of a healthier and more transparent company. THE GCG STRUCTURE
Our GCG implementation is supported by several elements:
General Meeting of Shareholders (GMS)GMS is the highest forum in our organization, where strategic decision is made and the determination or delegation of authorization is accomplished. We always have a very active forum with the shareholders and they secure rights to give approvals to the corporate action plans, the change in membership of Board of Commissioners and Board of Directors, the use of net profits, and others.
Board Of CommissionersThe scope of duties and responsibilities of the Company’s Board of Commissioners are as follows:
- Closely monitoring the management of the Companyrun by the Directors
- Supervising the implementation of corporate vision andmission as mandated by the shareholders
- Providing important inputs to the Directors whenevernecessary to create balance between planning function andsupervisory function
- Monitoring the GCG implementation in both financialand asset maintenance
The supervisory function is carried out with respect in line with the good principles of Good Corporate Governance and guidance of shareholders. The supervisory mechanism is conducted by reviewing the performance reports presented periodically by Directors at joint meetings between Commissioners and Directors. In carrying out its duties and responsibilities, the Commissioners work closely with the Audit Committee.
Board Of DirectorsThe Company’s Board of Directors is responsible for:
- Planning, managing, and controlling the whole businessoperation as well as formulating strategic and non-strategic
- Carrying out the agreed agenda and ensuring theenhancement of efficiency and effectiveness so asto facilitate smooth evaluation process over theCompany’s performance.
- Ensuring the implementation of GCG principles byeach element of the Company with respect to the fivekey principles: transparency, responsibility, fairness,professionalism and independence, in order to createan accountable company.
- Audit Committee
The Audit Committee of PT Bukit Uluwatu Villa Tbk works closely with Board of Commissioners to assist fulfilling the supervisory function over GCG implementation within the working setting.
The Committee also performs other duties and responsibilities:
- Analyze the activity reports and financial reports presented by the Directors or other working units in the Company
- Provide professional and independent inputs to the Board of Commissioners about any issues that require further attention.
- Work closely with the Independent Auditor to pursue higher business effectiveness and efficiency
The Corporate Secretary of the Company is responsible for collecting any information that is material to the shareholders in a timely and accurate fashion. Working closely with Corporate Legal and Compliance Unit, she or he must be aware of any changes in rules and regulation applicable at Indonesia stock exchange to maintain the Company’s regulatory compliance.
According to the rules of the Indonesia’s capital market, Corporate Secretary shall perform the following functions:
- To follow the capital market development, especially the capital market regulations
- To provide the public with any information needed by investors relating to the condition about the Company
- To provide an input to the Board of Directors to comply with applicable laws and regulations
- As a liaison or contact person between the Company with the appropriate authorities and the public
Corporate Secretary is expected to support the realization of corporate vision, mission and strategies. She or he shall be able to nurture and develop good relationship with the institutions and media communities in order to build good image of the Company. The Corporate Secretary works closely with community relation, particularly in building good relationship with non-market communities and performing function of corporate social responsibility.
- Internal Control & Audit System
Throughout the year, the internal audit department evaluats the Company’s bookkeeping system. Internal control role are conducted through routine visits to business units.

We are aware that information disclosure plays an important role in being a public company and we take this matter very seriously. All Capital Market disclosures are made in timely fashion and are submitted to the regulatory authorities. The remuneration is determined based on performance-based

Tri Hita Karana is the life concepts of the Balinese community in accomplishing secular and spiritual bliss through harmonization of the relationship between human and God (spiritual concept) – Parhyangan, human to human (social / community concept) – Pawongan, human and environment (environment concept) – Palemahan into an integral unity.

Alila Villas Uluwatu had taken initiatives of Green Campaign by organizing an organic trash collecting competition on February 26, 2016 in the hotel area.
- 100 Ketapang Kencana Trees Planting
Alila Villas Uluwatu donated 100 Ketapang Kencana trees to be planted in the surrounding area of Pura Uluwatu for reforestation effort together with Desa Pecatu residents on March 20, 2016.
- Pantai Jimbaran Cleaning
Jimbaran beach cleaning program, named International Coastal Clean-Up Programme, was carried out on September 10, 2016.
- Contract With Local Garbage Transportation Company
Establishing cooperation with a local company (Tambyak Lestari) to collect garbage around Alila Villas uluwatu. The garbage was then separated into several categories: reuseable, recyclable, and sent to government landfill (TPA).
Alila Ubud
- Alila ubud joined Bali Recycling service, a waste and recycling management.
Alila Manggis
- Alila Manggis had been working together with conservation organization Yayasan Alam Indonesia Lestari (LINI) and local fishermen to develop Coral Conservation Programme with the purpose to anticipate coral reef extinction;
- Established “Bebas Sampah Plastik” (No Plastic Waste) program, where the employees of Alila Manggis cleaned plastic waste from the coastal area around the hotel.
- Alila Manggis commitments in preserving the environment had presented the Company with a Gold Certificate from EarthCheck, an international environment management that focuses mainly on energy, water usage, and waste management.

In managing all aspects of operations, the Company is committed to always fully considering the effects on their stakeholders. This is shown by the Company’s firmness regarding employment practices and occupational health and safety with the purpose of minimizing work accidents.
Human Resources (HR) is the most important asset for the continuance of the business, therefore the Company is committed to managing human resources by prioritizing the improvement of quality and professionalism.

Employee turnover rate in 2016 stood at 51 people. This number faced a decline from 2015 which was reported at 58 people.

Throughout 2016, the Company administered 544 training programs that were attended by 598 participants.
CORPORATE SOCIAL RESPONSIBILITY IN SOCIAL AND COMMUNITY DEVELOPMENT
In managing all aspects of operations, the Company has committed to always contributing positively to social and community development, so that the existence of the Company’s operations has a positive value for the Balinese people. Realization of social responsibility program in social and community development conducted in 2016 is as follows:

- Support in the form of donation, cooking ingredients, and gas for cooking for Bali Life Foundation which is an orphanage. This support had been carried out since 2009;
- Monthly supports for Bali Life and Bali Wise. The supports are in the form of money and training programs for children in both foundations;
- Cash donations to support religious activities in a few Pura (Hindu Temples) in Pecatu and its surroundings;
- Offers daily religious offerings done by village religious leader;
- Contributed towards Festival Ogoh-ogoh in Pecatu by distributing donation to 9 Banjars in the village to support youth organizations in creating the Ogoh-ogoh;
- Continually collaborates with the community in making hotel amenities using hand-made organic materials created by a community in a remote village in East Bali;
- Donations in the form of money, food, and baby toys to Yayasan Sayangi Bali that accommodated and took care of abandoned babies. This program were carried out in September 25, 2016.
Alila Ubud Bali
- Collaborated with Yayasan Kupu-Kupu in Ubud that supports children and adults with physical and mental disabilities. Currently, the hotel’s sandals has been produced by these organizations and purchased by Alila Ubud. We also showcase their artworks for sale without commission at Alila Gallery and Alila Living Boutique to further promote the organization’s work;
- Collaborated with East Bali society to create creative works. This initiatives gave them the opportunities to earn income from soap making;
- Contributed by donating for traditional activities, religious ceremonies, and construction of religious buildings;
- Collaborated with Saraswati Foundation, an organization which members are all women that recycle paper to create new paper products. The organization recycles paper waste from our hotel and transform them into recyclable postcards, menu cards, and greeting cards that we use to promote events at Alila Living Boutique.
Alila Manggis
- Monthly donations in the form of money, drinks, snacks, and school stationeries to Bali Kumara Foundation every month;
- Helped Buitan Village with cash donation amounting to Rp80,000,000 for the construction of Pura Galuh located beside Alila Manggis.
- Organized Piodalan once every sixth months together with the people around the hotel;
- Supported Buitan Village Festival by inviting national businessmen to participate in Color Run;
- Collaborated with Bali Kumara Foundation in children program such as dancing, storytelling, English and Karatecourses;
- The planting of 1000 coconut trees so that the results will be beneficial for all in the future;
- Contributed by donating to traditional events, religious ceremonies, and construction of religious houses.
