PT Rig Tenders Indonesia Tbk (“The
Company” or “Rig Tenders”) is an Indonesia-based public-listed marine
logistic services provider for the oil and coal industry.
The Company’s business activities are
classified into two categories: coal and offshore. The coal segment
relates to the chartering of tugboats and barges to coal mining
companies to transport of coal and other bulk aggregates. The offshore
segment comprises of chartering supply vessels and accommodation work
barges to upstream oil and gas companies to support their offshore
operations.
The Company owns and operates a fleet of
vessels consisting of anchor handling supply tug, tug boats,
accommodation/work over barges, flat top barges and self- discharging
barges.
The Company owns 7 (seven) subsidiaries,
4 (four) through direct ownership namely Rig Tenders Marine Pte Ltd, CH
Logistics Pte Ltd, CH Ship Management Pte Ltd and Grundtvig Marine Pte
Ltd; 2 (two) through indirect ownership, namely: PT Batuah Abadi Lines
(through Grundtvig Marine Pte Ltd) and Scomi Vessels Pte Ltd (through PT
Batuah Abadi Lines); and 1 (one) through joint venture with Marco Polo
Ventures Pte. Ltd, namely Rig Tenders Offshore Pte Ltd.
The Company was initially established as
a limited liability company, a joint venture company by Mr Boedihardjo
Sastrohadiwirjo and Rig Tenders Inc in the framework of the Foreign
Capital Investment Law No 1 Year 1967 as amended by Law No. 11 Year 1970
based on Notarial Deed of Mrs Darwani Sidi Bakaroedin, S.H., No. 25
dated January 22, 1974, which was approved by the Minister of Justice of
the Republic of Indonesia in the Ministrial Decree No. Y.A.5/98/10
dated 1 April 1974 and published in State Gazette of the Republic of
Indonesia No. 39 dated May 14, 1974, Supplement No. 187/1974.
The Company’s Articles of Association
have been amended several times. The latest amendment made to the
Company’s Articles of Association was based on Notarial Deed of
Stephanie Wilamarta, S.H. dated September 22, 2015 No.128 That amendment
has been approved by the Minister of Law and Human Rights of the
Republic of Indonesia.
To support the Company’s business
activities, the Group owns and operates fleet of vessels. As of March
31, 2017, the Group owned 76 vessels, consisting of 2 Accomodation Work
Barges, 1 Anchor Handling Tug Supply Vessel, 7 Supply Discharging

The Company was listed on the Indonesia Stock Exchange on 5 March 1990.

1. ISSUANCE OF PREEMPTIVE RIGHTS
In 1992, the Company carried out a preemptive rights issue by issuing
a total of 30,456,500 shares to the shareholders at par value of Rp
1,000 per share.
The Company obtained the Notice of Effective of Stock Listing from the Chairman of BAPEPAM for Rights Issue No. S-1369/PM/1992 on 21 August 1992, and the issued shares were listed on the Indonesian Stock Exchange on 29 October 1992.

2. SCRIPTLESS TRADING
On 22 December 2001, the Company implemented scriptless trading in
accordance with the regulations of the Indonesian Central Securities
Depository regarding Depository Services, approved by BAPEPAM.
Following the implementation of scriptless trading, the shareholders of the Company who still possessed the share certificate in its physical form (script) are no longer able to trade at the Stock Exchange.

3. STOCK SPLIT
The Company implemented a stock split in 2004 at a ratio of 1:10,
wherefore the nominal value of each share was split from Rp 1,000 to Rp
100 per share.

Offshore Support Services
Our offshore support services division provides vessels to the oil and gas industry to support operations such as:
- Seismic survey support as chase boat and utility vessel
- Anchor handling services e.g. setting and positioning of anchors
- Towing, assisting and mooring of FPSO, FSO, tankers, platform and rigs
- Mobilization/de-mobilization of FPSO, FSO, platform and rigs
- Perform fire-fighting and oil spill recovery duties
- Running cargoes to platform, rigs and to support general logistic for offshore
- Supply food and fresh water for tankers, platform, rigs
- Transportation for personnel, bulk and deck cargoes
- Chartering of offshore accommodation barge
- Protecting pipe line, patrolling and supporting pipe laying and protect oil & gas field from any unnecessary ships/boats
- Support maintenance jobs on platform or rigs

Coal Transport
Our operation teams in Banjarmasin area have been involved in the business for many years of transporting coal from mining sites to stockpile/mother vessel. This activity known as transshipment. We are able to handle all aspects of ship management such as :
- Inward/outward clearance for vessels into Indonesia
- Offshore operation permits
- Entry/exit permits for crew and vessels
- Crew changes
Apart from manning our own vessels, we have a department which can
provide qualified and competent maritime crew and general workers. All
of our maritime crews have qualifications to comply STCW 95
requirements.
To enable our clients focus on their core activities, we also offer
full catering services where for a fixed victual costs, we manage

standards with particular emphasis placed upon marine safety, safe
working practices and the health of personnel, protection of the
environment and continuous improvement of the skills of shore and sea
personnel.
The commitment to QHSE Management System includes the provision of
safe working practices, a safe working environment, Environment
Protection such as prevention of pollution, assess all identified risks
to its ship, personnel and the environment and establish appropriate
safeguards and evaluating Audit results, analysing the cause of
non-conformances and evaluating the effectiveness of corrective actions.

These high standards of work, health and safety will be achieved by
operating a QHSE Management System that meets the requirements of the
ISO 9001:2015 (Quality) Standard, OHSAS 18001:2007 (Occupational Health
& Safety) Standard, the ISM Code 2015 for the Safe Operation of
Vessels and Pollution Prevention and ISO 14001:2015 (Environmental)
Standard.
Operations will be in compliance with Marine Safety, Environmental
Rules, OH&S Regulations and applicable Legislation. The QHSE
Management System will allow normal business decision making processes
to control and monitor risks and verify adherence to performance
standards. Compliance with this Policy, Objectives and associated
Procedures is mandatory and binding upon all Employees. Quality

Environment is the responsibility of everyone working for an on behalf

PT. Rig Tenders Indonesia (PTRTI) is committed to providing a safe
and healthy workplace for Employees, Contractors, Customers and Members
of the Public. In doing so, PTRTI will comply with all relevant
Legislation, Codes of Practice and Standards.
PTRTI shall ensure the work environment and equipment are safe.
Integral to achieving healthy and safe systems of work are operating
procedures and supervision, which are contained in PTRTI’s OH&S and
Resource Management Procedures, which is part of the their QHSE
Management System. The OH&S and Resource Management Procedures shall
provide information and training requirements for all Employees.
PTRTI shall ensure that all Management and Staff have the necessary
support and resources to meet their obligations of responsibility,
accountability and authority for Occupational Health and Safety.
PTRTI acknowledges that hazards can provide physical and
psychological risks. Such hazards may arise from the work environment,
equipment or interaction with people. Management and Staff shall
promote and participate in systematic hazard identification and risk
management. They will also verify health and safety by undertaking
Inspections, Testing and Audit Procedures.
Health and safety at work is both an individual and shared
responsibility. All Employees shall take reasonable care for their own
health and safety and for that of their fellow Employees. Accordingly,
Employees shall co-operate with Management and comply with PTRTI’s
Policies and Procedures.
Implicit to all PTRTI OH&S activity is a consultative process.
This enables all Employees to contribute to the continuous improvement
of health and safety in their work place. Employees are encouraged to
participate in improving health and safety in the work place through
their respective Managers, or by communication with, or being part of OH
&S Committees. These Committees have an important role in
monitoring health and safety in the workplace. Consistent with a
continuous improvement approach to OH&S, the General Manager shall

Drug, Alcohol and Gambling Policy
The Company’s Drug, Alcohol and Gambling Policy applies to all personnel who may sail on or visit the Company’s vessels.
DRUGS
The misuse of legitimate drugs or the use, possession, distribution or sale of illicit or unprescribed controlled drugs ashore or onboard ship or by shore Staff/Crew Members on leave IS PROHIBITED
The Company will not employ any persons who are users of, or have a recent record of the use of illegal drugs or have abused the use of prescribed drugs. Any Employee found in contravention of the Company’s Drug Policy WILL BE INSTANTLY DISMISSED AND HANDED OVER TO THE APPROPRIATE AUTHORITIES FOR PROSECUTION. All are reminded that in certain countries possession of illegal drugs can result in the DEATH PENALTY.
ALCOHOL
The vessels are employed in hazardous environments and the primary concern is with the safety of all personnel, the vessel and the protection of the environment.
For this reason onboard all vessels, alcohol consumption by personnel IS STRICTLY FORBIDDEN. Alcohol IS NOT ALLOWED aboard any vessel no matter what the reason.
GAMBLING
To ensure a safe working environment onboard the vessels all personnel must co-operate fully with other personnel. Personnel disputes arising onboard threaten the harmony of the vessels operation, for this reason gambling in any form IS FORBIDDEN.
THE COMPANY WILL UNDERTAKE DISCIPLINARY PROCEDURES AGAINST ANYONE CONTRAVENING THE ABOVE REQUIREMENTS. Rig Tenders Indonesia RIGS
