The Company was established under the name of PT Indo Ayala Leasing Corporation and is a limited liability company subject to the laws and regulations that apply in the Republic of Indonesia, domiciled in South Jakarta. The Company was established based on the Deed of Establishment No. 125 dated February 23, 1982, as amended by Deed No. 41 dated 18 April 1983, which deeds were made before Frederik Alexander Tumbuan, SH, Notary in Jakarta, and were approved by the Minister of Justice of the Republic of Indonesia through Decree No. C2-3535.HT.01.01.TH.83 dated May 3, 1983, and has been announced in the State Gazette of the Republic of Indonesia No. 40, additional No. 501 dated May 18, 1984.
The Company's Articles of Association have been amended several times, where the latest amendment was based on Deed No. 18, which was made before Dedy Pramono, SH, M.Kn., Notary in Jakarta on 11 November 2015 concerning an agreement to increase the Company's authorized capital from Rp. 150,000,000,000 (one hundred and fifty billion Rupiah) to Rp. 650,000,000,000. (six hundred fifty billion Rupiah), an increase in paid-up capital in the Company from the original Rp. 38,367,416,900 (thirty eight billion three hundred sixty seven million four hundred sixteen thousand nine hundred Rupiah) to Rp. 168,367,416,900 (- one hundred sixty eight billion three hundred sixty seven million four hundred sixteen thousand nine hundred Rupiah) using the mechanism of Capital Addition without Pre-emptive Rights through the Conversion of the Company's Debt to Sinoasia Holding Limited, and changes in the composition of the Company's Directors and Board of Commissioners.
